1. Acceptance of Terms
By accessing or using any service provided by SaasPoint, its subsidiary brands TechMiles.in and Kapishai.com (collectively "SaasPoint", "we", "us", or "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not access or use our services. These Terms apply to all visitors, users, clients, and others who access or use our services.
2. Services Description
SaasPoint provides professional technology and digital services including, but not limited to:
- Custom web and mobile application development
- Salesforce CRM implementation, customisation, and support
- eCommerce development (Shopify, WooCommerce)
- SaaS product development and blockchain solutions
- Search engine optimisation (SEO) and digital marketing
- Social media management and content strategy
- Google Ads and Meta Ads campaign management
- IT consulting and technical advisory services
The scope of services for any specific project will be defined in a separate Statement of Work (SOW) or Service Agreement signed between the parties.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding contract in your jurisdiction to use our services. By using our services, you represent and warrant that you meet these requirements.
If you are entering into these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms.
4. Intellectual Property
4.1 Our Content
All content on SaasPoint websites, including text, graphics, logos, and software, is the property of SaasPoint or its content suppliers and is protected by applicable intellectual property laws.
4.2 Client Deliverables
Upon full payment for a project, the client shall own the custom code and deliverables created specifically for that project, as outlined in the project agreement. SaasPoint retains the right to use general methodologies, frameworks, and non-proprietary know-how developed during the engagement.
4.3 Third-Party Components
Projects may incorporate open-source libraries or third-party components governed by their own licences. SaasPoint will notify clients of any such components and their applicable licences.
5. Payments & Fees
Payment terms, rates, and milestones will be agreed upon in writing before project commencement. Unless otherwise agreed:
- A deposit (typically 30–50% of project value) is required before work begins.
- Remaining payments are due at agreed milestones or upon project completion.
- Invoices are payable within 14 days of issue unless otherwise specified.
- Late payments may incur interest at 1.5% per month on the outstanding balance.
- Ongoing services (SEO, social media management) are billed monthly in advance.
All fees are exclusive of applicable taxes unless stated otherwise.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the engagement ("Confidential Information"). This obligation survives termination of the agreement for a period of three (3) years.
Confidential Information does not include information that is publicly available, independently developed, or disclosed pursuant to legal requirement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, SaasPoint's total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the preceding three (3) months.
In no event shall SaasPoint be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity.
8. Termination
Either party may terminate a service agreement with 30 days written notice. Upon termination:
- Client shall pay for all work completed up to the termination date.
- SaasPoint will deliver all completed work product to the client.
- Access to any SaasPoint-managed platforms or accounts will be transferred or terminated as appropriate.
SaasPoint may immediately terminate services if the client breaches these Terms and fails to remedy the breach within 7 days of written notice.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
For international clients, the parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating formal proceedings.
10. Changes to Terms
SaasPoint reserves the right to modify these Terms at any time. We will notify existing clients of material changes via email. Your continued use of our services after such notification constitutes acceptance of the revised Terms.
